Joint venture in India: find the right partner
In most sectors you do not need an Indian partner to own a company in India. You need one when the sector caps foreign ownership, or when a partner brings customers, licences or a network you cannot build alone. Then everything depends on choosing the partner well and on the agreement you sign.

In short
- Three common forms: joint venture company, distribution agreement, sales agency.
- A joint venture is worth it for capped sectors or when the partner brings assets you need.
- Check the partner as you would an acquisition: records, finances, reputation, litigation.
- Agree exit, deadlock and dispute rules before you sign, not when things go wrong.

Joint venture, distributor or agent?
| Joint venture | Distributor | Sales agent | |
|---|---|---|---|
| What it is | A company you own with an Indian partner | Buys your products and resells them | Finds customers, you sell directly |
| Your investment | Capital in the joint company | Low | Low |
| Your control | Shared, set by the agreement | Over pricing and brand, by contract | High |
| Indian entity needed | Yes, the joint company | No | No |
| Suited to | Capped sectors, local assets needed | Products with an existing channel | Testing demand, high-value sales |
If you want full control and your sector allows it, a wholly owned company in India is often simpler than a joint venture.
When a joint venture makes sense
Does your sector cap foreign ownership?
YesJoint venture, the partner holds the required share
Nonext question
Does the partner bring a factory, land, licences or contracts?
YesJoint venture can save you years
Nonext question
Do you mainly need a sales channel?
YesDistributor or sales agent, no joint company
OtherwiseYour own wholly owned company in India
- Your sector caps foreign ownership or needs an Indian majority (see the sector rules for foreign direct investment in India).
- The partner brings assets: a factory, land, licences, approvals or government contracts.
- The partner brings customers: an established sales force or distribution you would take years to build.
- You want to share the investment and risk on a large project.
If none of these apply, the joint venture mostly adds shared decisions. Many foreign companies that started with a joint venture later bought out their partner.
How to check an Indian partner before you sign
Treat a future partner like a company you are about to buy a stake in (the checks are close to those in acquiring a company in India).
Company records
Registration, directors, shareholders, charges on assets and filing history in the official company registry.
Financial health
Audited accounts for several years, tax filings, debts and payment behaviour with suppliers.
Litigation
Court cases, tax disputes and regulatory actions against the company and its promoters.
Reputation
References from foreign companies they already work with, and from banks and customers.
Real capabilities
Visit the sites, meet the team that will run the partnership, check the customers they claim.
The clauses that protect you
- Reserved matters: the decisions that need both partners, such as budget, new shareholders, related-party deals.
- Board and management: who appoints the directors and the managing director.
- Deadlock: what happens when partners disagree, step by step.
- Exit: put and call options, valuation method, transfer restrictions and first refusal.
- Non-compete and intellectual property: who owns the brand, technology and anything developed together.
- Disputes: arbitration rules, seat and governing law.
Finding a distributor in India, or a sales agent
For many products, a distributor or agent is the fastest way to test India. The difference matters: a distributor buys and resells, so it carries stock and credit risk; an agent finds customers, and you invoice them yourself. The full method is in our guide on how to find a distributor in India.
- Define the territory and channels: all of India is rarely realistic for one partner.
- Tie any exclusivity to minimum targets and a review date.
- Agree who handles imports, certification, after-sales service and marketing.
- Plan the end of the contract: notice, stock buy-back and customer handover.
- If you also want to produce locally, compare with contract manufacturing in India.
Questions about joint ventures and partners in India
Do I need an Indian partner to do business in India?
Not in most sectors. Foreign companies can own 100% of an Indian company in most activities. A partner becomes necessary in sectors with foreign ownership caps. It is useful when it brings licences, land, customers or a distribution network you cannot build quickly.
How is a joint venture usually structured in India?
Most joint ventures are a private limited company owned by both partners, governed by a shareholders agreement. Some are purely contractual, without a joint company, for a defined project or period.
What share should the foreign partner hold?
It depends on the sector cap and on control. Majority ownership gives you control of ordinary decisions; key decisions can still require both partners if the agreement says so. Many disputes come from a split that leaves no one able to decide.
How do I get out of a joint venture in India?
Through the exit clauses agreed at the start: put and call options, a valuation method, deadlock procedures and transfer restrictions. Without them, leaving can take years. Pricing of share transfers between residents and non-residents also follows foreign exchange rules.
Should I give my Indian distributor exclusivity?
Only with targets. Exclusivity for a territory or channel can motivate a distributor. Tie it to minimum purchases and a review date, so you can change partner if the market is not developed.
Which law and courts should govern the agreement?
Many foreign companies choose arbitration with a seat outside India or in a major Indian city, under recognised rules. Indian courts can be slow, so the dispute clause deserves as much attention as the commercial terms.
